Campaigns Terms and Conditions

1. Definitions

  • Campaigns: A promotional tool that allows Vendors to bid for priority placement in the buy box through a competitive bidding system.
  • Selling Price: The retail price of the product listed by the Vendor.
  • Maximum Selling Price: The highest retail price allowed for a product promoted through Campaigns.
  • Campaign Bid: The amount a Vendor bids to compete for buy box placement, which is added to the selling price and collected from the customer.
  • Buy Box: The prominent product placement area where customers can directly purchase a product.
  • Vendors/Sellers: Sellers or Vendors on Driffle that sell their products through the Platform.
  • Automated Campaigns: Campaign system that automatically bids the minimum required amount on behalf of Vendors.
  • Driffle: UAB Driffle, with its registered office at Vilnius, Naugarduko g. 3-401, 03231, Lithuania.
  • Bundle Limited: Bundle Limited, with its registered office at UNIT 2A, 17/F, GLENEALY TOWER NO.1 GLENEALY CENTRAL HONG KONG S.A.R., which collaborates with Driffle in providing certain services and collecting campaign fees from transactions on the Platform.
  • Platform: The platform which is made available on the Internet under the address: https://driffle.com

2. Campaign Fee Structure and Bidding System

2.1. Campaign Fee Collection

  • 2.1.1. Campaign fees are not charged directly to Vendors. The campaign bid amount is added to the selling price and collected from the customer.
  • 2.1.2. The total price displayed in the buy box includes the Vendor's selling price plus the campaign bid amount.
  • 2.1.3. Campaign fees may be collected by both Driffle and Bundle Limited, in accordance with the same methodology as service fee and vendor commission outlined in Section 4 of the Terms and Conditions. The campaign fee is calculated separately from and is not included in the service fee component, as it varies based on individual seller bids.

2.2. Bidding System

  • 2.2.1. Vendors compete for buy box placement through a bidding system where higher bids increase the likelihood of securing the buy box position.
  • 2.2.2. Buy box placement is determined by multiple factors including but not limited to:
    • Campaign bid amount
    • Product selling price
    • Vendor rating and performance metrics
    • Other algorithmic factors as determined by Driffle in its sole discretion
  • 2.2.3. The Vendor with the most competitive combination of these factors, as determined by Platform's algorithms, will be awarded the buy box placement.

3. Campaign Management

3.1. Campaign Termination

  • 3.1.1. Vendors may terminate their Campaigns at any time without prior notification to Driffle. Such termination becomes effective immediately upon implementation through the Vendor's dashboard or upon written notice to Driffle.

3.2. Changes to Campaign Parameters

  • 3.2.1. Driffle reserves the right to modify campaign bid requirements, maximum selling prices, and other campaign parameters at any time.
  • 3.2.2. Vendors will be provided with prior written notice of at least ten (10) days before any changes to campaign parameters are implemented.
  • 3.2.3. All notices regarding changes will be delivered via email to the Vendor's registered email address or through the Vendor's key account manager.
  • 3.2.4. Notices sent by email are deemed read and acknowledged on the date of transmission.

3.3. Right to Suspend

  • 3.3.1. Driffle reserves the right to suspend the Campaigns feature for any Vendor at any time, with or without cause, and without providing any reason or explanation.

4. Store Name Guidelines

4.1. Entity Name Requirements

  • 4.1.1. Vendors must use a different entity name for their campaigns that complies with all applicable marketplace guidelines and regulations.
  • 4.1.2. The store name used in campaigns must adhere to all guidelines applicable to store names on the marketplace.
  • 4.1.3. Driffle reserves the right to review and reject any store name that does not comply with these guidelines or that Driffle deems inappropriate in its sole discretion.

4.2. Prohibited Content

  • 4.2.1. Vendors warrant that their Store will not contain any of the following:
    • 4.2.1.1. Driffle trademarks, products, or any references to Driffle products or services.
    • 4.2.1.2. ASCII art or similar graphic representations.
    • 4.2.1.3. Depictions of children in adult or dangerous situations.
    • 4.2.1.4. Content that encourages, promotes, or facilitates vandalism, anti-social behaviour, or the defacing of public or private property.
    • 4.2.1.5. Content that may be considered culturally inappropriate in the geographical location where the Store will be displayed.
    • 4.2.1.6. Content that implies, claims to diagnose, treat, or question gender identity or sexual orientation.
    • 4.2.1.7. Content that promotes hate, incites violence or intolerance, or advocates for or discriminates against any protected group.
    • 4.2.1.8. Content that promotes practices that can result in physical or mental harm.
    • 4.2.1.9. Content that directly addresses or questions customers, including the use of second-person pronouns such as "you/your."
    • 4.2.1.10. Content that encourages, glorifies, or promotes smoking or tobacco use.
    • 4.2.1.11. Content that glorifies or promotes the use of illicit drugs, abuse of legal drugs, drug paraphernalia, or products designed to circumvent drug testing.
    • 4.2.1.12. Content that revolves around highly debated social topics.
    • 4.2.1.13. Content that promotes excessive or irresponsible consumption of alcohol.
    • 4.2.1.14. Political content, including campaigns for or against any politician, political party, or content related to political issues of public debate.
    • 4.2.1.15. Depictions of cruelty toward people or animals.
    • 4.2.1.16. Deceptive, false, misleading, or fraudulent content.
    • 4.2.1.17. Exploitation of sensitive events including natural disasters, human-caused disasters, incidents of mass trauma, or casualties.
    • 4.2.1.18. Fake functionality such as non-functional "Play" buttons or login requests.
    • 4.2.1.19. Foul, vulgar, obscene language, profanity, or language containing inappropriate double meanings.
    • 4.2.1.20. Misspellings, excessive punctuation, or grammatically incorrect content.
    • 4.2.1.21. Obscene, defamatory, libellous, illegal content, or content invasive of another's privacy.
    • 4.2.1.22. References to potentially embarrassing bodily functions, conditions, or private, intimate, or sensitive physical or medical conditions.
    • 4.2.1.23. References to competitor company names or products for the purpose of denigration, comparison, or leveraging other brands.
    • 4.2.1.24. Religious advocacy, whether promoting or demeaning any religion.

5. Operational Framework

5.1. Vendor Commission

  • 5.1.1. Vendor Commission is calculated automatically in accordance with the terms specified in the Vendor terms and conditions and remains separate from campaign bidding obligations.

5.2. Maximum Selling Price

  • 5.2.1. The Maximum Selling Price is the highest retail price permitted for any product promoted through the Campaigns feature.
  • 5.2.2. Driffle reserves the right to modify Maximum Selling Price limits at any time, with prior written notice of at least ten (10) days before such changes are implemented.

5.3. Minimum Bid Requirements

  • 5.3.1. The Minimum Bid is the lowest amount a Vendor may bid to participate in campaign bidding for buy box placement.
  • 5.3.2. Driffle reserves the right to modify Minimum Bid requirements at any time, with prior written notice of at least ten (10) days before such changes are implemented.
  • 5.3.3. Automated campaigns operate using the minimum bid requirement as determined by Driffle.

5.4. Automated Campaigns

  • 5.4.1. Default Activation
    • 5.4.1.1. Automated Campaigns are activated by default for all Vendor offers upon account creation or feature implementation.
    • 5.4.1.2. Vendors may customize their Campaigns through the designated Campaigns section within their Seller Dashboard.
  • 5.4.2. Manual Deactivation and Reactivation
    • 5.4.2.1. Vendors may manually disable Automated Campaigns through the settings section in their seller dashboard.
    • 5.4.2.2. Once disabled, Automated Campaigns cannot be reactivated by the Vendor through the seller dashboard interface.
    • 5.4.2.3. To reactivate Automated Campaigns, Vendors must contact their designated key account manager who will assist with the reactivation process at Driffle's discretion.

6. Copyright and Trademark Compliance

6.1. Compliance with Intellectual Property Laws

  • 6.1.1. Vendors warrant that their store names, icons, and all campaign content will not violate, infringe upon, or misappropriate any copyrights, trademarks, or other intellectual property rights of any third parties.
  • 6.1.2. Vendors acknowledge that it is their sole responsibility to comply with all applicable laws, rules, regulations, and legal requirements that apply to their content and campaigns.
  • 6.1.3. Driffle reserves the right to review and reject any store name or content that may infringe upon intellectual property rights or that Driffle deems inappropriate in its sole discretion.

6.2. Right to Suspend for Violations

  • 6.2.1. If Driffle determines that a Vendor's content violates any intellectual property rights or these terms, Driffle reserves the right to:
    • 6.2.1.1. Immediately suspend the Vendor's access to the Campaigns feature.
    • 6.2.1.2. Immediately suspend all of the Vendor's active campaigns.
  • 6.2.2. Driffle may exercise such rights without prior notice to the Vendor and without any obligation to provide justification or explanation for such actions.

7. General Provisions

7.1. Binding Agreement

  • 7.1.1. These Terms constitute a legally binding agreement between the Vendor and Driffle. By utilizing the Campaigns feature, Vendors acknowledge that they have read, understood, and agree to be bound by all terms and conditions set forth herein.

7.2. Severability

  • 7.2.1. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

7.3. Governing Law

  • 7.3.1. These Terms are governed by and construed in accordance with app
