Terms and Conditions

This Terms and Conditions Agreement ("Terms") is entered into between Remittx Private Limited, a company incorporated under the Companies Act, 2013, bearing CIN: U74999DL2016OPC303824 and having its registered office at 1st Floor, Gopala Krishna Complex, Residency Road, Bengaluru, Karnataka, India – 560025 ("Company", "we", "us", or "our"), and you ("User", "you", or "your"), who access, browse, or use our platform, Slashy.

By accessing or using Slashy, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our platform.

1. ABOUT SLASHY

1.1 Our Service

Slashy is a digital platform that enables users to purchase, send, and redeem gift cards from various Indian brands and merchants. We operate as a retailer and distributor of digital gift cards, not as the issuer of the underlying gift cards.

1.2 Platform Access

Our services are available through:

  • Mobile applications (iOS and Android)
  • API integrations

2. DEFINITIONS

2.1 Key Terms

  • "Platform" means the Slashy website, mobile applications, APIs, and related services
  • "Gift Cards" means digital vouchers, e-gift cards, or prepaid instruments available for purchase on our Platform
  • "Brand Partners" means third-party merchants whose gift cards we distribute
  • "Account" means your registered user profile on our Platform
  • "Services" means all features, functionalities, and offerings provided through our Platform
  • "Digital Delivery" means electronic transmission of gift cards via email, SMS, or in-app notification

3. ELIGIBILITY AND REGISTRATION

3.1 Age Requirements

  • You must be at least 18 years old to use our Platform
  • Users under 18 may use our Platform only with parent or guardian supervision and consent

3.2 Registration

  • You must provide accurate, current, and complete information during registration
  • You are responsible for maintaining the confidentiality of your account credentials
  • You must promptly update your account information if it changes
  • One person may maintain only one active account

3.3 Account Security

  • You are solely responsible for all activities under your account
  • Notify us immediately of any unauthorized use of your account
  • We reserve the right to suspend accounts showing suspicious activity

4. GIFT CARD PURCHASE AND DELIVERY

4.1 Purchase Process

  • Gift cards are sold at face value plus applicable taxes and fees
  • Payment must be completed before gift card delivery
  • All purchases are final and subject to these Terms

4.2 Payment Methods

We accept the following payment methods in Indian Rupees (INR):

  • Credit and Debit Cards (Visa, MasterCard, RuPay)
  • Net Banking
  • UPI (Unified Payments Interface)
  • Digital wallets (as available)

4.3 Digital Delivery

  • Gift cards are typically delivered within 15 minutes of successful payment
  • Delivery may be delayed up to 24 hours due to verification or technical issues
  • Gift cards are delivered via email, SMS, or through your Slashy account
  • Check your spam/junk folder if you don't receive your gift card

4.4 Delivery Failures

  • We are not responsible for delivery failures due to incorrect contact information
  • If delivery fails due to our error, we will re-send the gift card or provide a refund

5. GIFT CARD TERMS

5.1 Validity and Expiration

  • Each gift card has a specific validity period determined by the Brand Partner
  • Validity periods are clearly stated at the time of purchase
  • Gift cards cannot be used after expiration
  • We do not extend validity periods or provide refunds for expired gift cards

5.2 Redemption

  • Gift cards can be redeemed only at participating Brand Partner locations or websites
  • Gift cards are redeemable for their full face value
  • Some Brand Partners may allow partial redemption with remaining balance retained
  • Gift cards cannot be redeemed for cash (except where required by law)

5.3 Restrictions

  • Gift cards are non-transferable and non-refundable (except as required by law)
  • Gift cards cannot be resold or exchanged
  • Gift cards cannot be used to purchase other gift cards
  • Some products or services may be excluded from gift card redemption

5.4 Lost or Stolen Gift Cards

  • Treat gift cards like cash - we are not responsible for lost, stolen, or compromised gift cards
  • Gift card codes should be kept confidential and secure
  • We cannot replace gift cards that are lost, stolen, or used without authorization

6. PRICING AND PAYMENTS

6.1 Pricing

  • All prices are displayed in Indian Rupees (INR) inclusive of applicable taxes
  • Prices may change without notice
  • The price at the time of purchase confirmation is the final price

6.2 Taxes and Fees

  • Applicable taxes (including GST) are included in the displayed price
  • Processing fees, if any, will be clearly disclosed before payment
  • Additional charges may apply for expedited delivery or special services

6.3 Payment Processing

  • Payments are processed through secure, PCI-compliant payment gateways
  • Payment confirmation is required before gift card delivery
  • Failed payments will not result in gift card delivery

7. REFUNDS AND CANCELLATIONS

7.1 Refund Policy

  • Digital gift cards are generally non-refundable once delivered
  • Refunds may be provided in cases of:
    • Technical errors resulting in incorrect gift card delivery
    • Proven fraudulent transactions
    • Brand Partner discontinuation of services
    • Legal requirements

7.2 Refund Process

  • Refund requests must be submitted within 7 days of purchase
  • Refunds are processed to the original payment method within 7-10 business days
  • Processing fees may be deducted from refunds where applicable

7.3 Cancellation

  • Orders can be cancelled only before gift card delivery
  • Once delivered, gift cards cannot be cancelled

8. USER RESPONSIBILITIES AND CONDUCT

8.1 Prohibited Activities

You may not:

  • Use our Platform for illegal or unauthorized purposes
  • Purchase gift cards with fraudulent payment methods
  • Attempt to hack, disable, or impair our Platform
  • Create multiple accounts to circumvent purchase limits
  • Engage in money laundering or terrorist financing
  • Violate any applicable laws or regulations

8.2 Purchase Limits

  • We may impose daily, monthly, or transaction-wise limits on gift card purchases
  • Limits help prevent fraud and comply with regulatory requirements
  • Limits may vary based on user verification status and purchase history

8.3 Verification Requirements

  • We may require identity verification for large purchases
  • Additional documentation may be requested for compliance purposes
  • Failure to provide required verification may result in transaction cancellation

9. PLATFORM AVAILABILITY AND MAINTENANCE

9.1 Service Availability

  • We strive to maintain Platform availability 24/7
  • Planned maintenance will be communicated in advance when possible
  • We are not liable for service interruptions beyond our control

9.2 Geographic Limitations

  • Our services are primarily designed for users in India
  • Some gift cards may have geographic redemption restrictions
  • We do not guarantee Platform functionality outside India

10. INTELLECTUAL PROPERTY

10.1 Our Content

  • All Platform content, including logos, designs, and software, is our property
  • You may not copy, modify, distribute, or create derivative works
  • Brand Partner logos and content are owned by respective Brand Partners

10.2 Limited License

  • We grant you a limited, non-exclusive, non-transferable license to use our Platform
  • This license is revocable and terminates when you stop using our Platform

11. THIRD-PARTY BRAND PARTNERS

11.1 Relationship

  • We are an authorized retailer/distributor, not the issuer of gift cards
  • Each Brand Partner has its own terms and conditions for gift card use
  • Disputes regarding gift card redemption should be directed to the Brand Partner

11.2 Brand Partner Changes

  • Brand Partners may modify their terms, discontinue services, or close businesses
  • We are not responsible for Brand Partner actions beyond our control
  • We will make reasonable efforts to notify users of significant Brand Partner changes

12. PRIVACY AND DATA PROTECTION

12.1 Data Collection

  • We collect and process personal data as described in our Privacy Policy
  • You consent to such collection and processing by using our Platform

12.2 Communication

  • You may receive transactional emails and SMS related to your purchases
  • Marketing communications can be opted out, but transactional messages continue
  • We may contact you for customer service or security purposes

13. DISCLAIMERS AND LIMITATIONS

13.1 Platform Disclaimer

  • Our Platform is provided "as is" and "as available"
  • We disclaim all warranties, express or implied
  • We do not guarantee uninterrupted or error-free service

13.2 Gift Card Disclaimer

  • We are not responsible for Brand Partner products, services, or policies
  • Gift card functionality depends on Brand Partner systems and policies
  • We do not warrant that gift cards will be accepted or honored

13.3 Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, data, or business opportunities
  • Damages exceeding the amount paid for the specific gift card
  • Third-party actions or Brand Partner decisions

14. INDEMNIFICATION

You agree to indemnify and hold harmless the Company, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Your breach of these Terms
  • Your misuse of our Platform
  • Your violation of applicable laws
  • Your infringement of third-party rights

15. TERMINATION

15.1 Termination by Us

We may suspend or terminate your account for:

  • Violation of these Terms
  • Suspected fraudulent activity
  • Non-compliance with verification requirements
  • Legal or regulatory reasons

15.2 Effect of Termination

  • Undelivered gift cards will be refunded
  • Delivered gift cards remain valid per their original terms
  • You lose access to account features and benefits

16. REGULATORY COMPLIANCE

16.1 RBI Compliance

  • Our gift cards comply with RBI guidelines for Prepaid Payment Instruments
  • Semi-closed loop gift cards are subject to RBI regulations
  • We maintain necessary licenses and registrations

16.2 Tax Compliance

  • GST is applicable on gift card sales as per Indian tax laws
  • Tax invoices are provided for all purchases
  • You are responsible for any additional tax obligations

16.3 AML/KYC Compliance

  • We follow Anti-Money Laundering and Know Your Customer guidelines
  • Enhanced verification may be required for large transactions
  • Suspicious transactions will be reported to authorities

17. DISPUTE RESOLUTION

17.1 Customer Support

  • Escalation procedures are available for unresolved issues

17.2 Governing Law

These Terms are governed by the laws of India.

17.3 Arbitration

  • Arbitration will be conducted in English in Bengaluru, India
  • The arbitrator's decision shall be final and binding

17.4 Jurisdiction

For any judicial proceedings, courts in Bengaluru shall have exclusive jurisdiction.

  • Continued use after modifications constitutes acceptance
  • Significant changes will be communicated via email or Platform notification

18.2 Version Control

  • The current version is always available on our Platform
  • Previous versions are archived for reference

19. GENERAL PROVISIONS

19.1 Severability

If any provision is deemed invalid, the remaining provisions continue in effect.

19.2 Entire Agreement

These Terms, together with our Privacy Policy, constitute the complete agreement between us.

19.3 Assignment

We may assign these Terms without notice. You may not assign your rights or obligations.

19.4 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control.
