Campaigns Terms and Conditions

This agreement sets forth the terms and conditions governing the Vendor's use of Driffle's Campaigns feature.


Definitions


Campaigns: A tool for Vendors to promote their offers in the buy box through bidding;

Selling Price: The retail price of the product listed by the Vendor;

Selling Price Limit: The maximum retail price of a Campaign;

Campaign Fee: The amount collected on each sale made through the Campaign;

Vendors/Sellers:Sellers or Vendors on Driffle that sell their products.


Terms and Conditions


1. Non-Refundable Campaign Fee

1.1. The Campaign Fee is non-refundable once a sale is completed through the promoted offer in the buy box.


2. Campaign Termination

2.1. The Campaign can be terminated at any time by the Vendor without prior notification to Driffle.


3. Changes to Campaign Fee

3.1. Driffle reserves the right to change the Campaign Fee at any time.

3.2. Vendors will be provided with a prior written notice 10 days before any changes to the Campaign Fee are implemented.

3.3. Notices regarding changes to the Campaign Fee or other terms and conditions shall be delivered via e-mail or through the Vendor's key account manager.

3.4. Notices sent by email shall be considered read and acknowledged on the date they are sent.


4. Right to Suspend

4.1. Driffle reserves the right to suspend the Campaigns feature without providing any reason or explanation.


5. Store Name Guidelines

5.1. Vendors to use a different entity name for their campaigns.

5.2. The store name used in campaigns must adhere to the guidelines applicable to store names on the marketplace.

5.3. Driffle reserves the right to review and reject any store name that does not comply with these guidelines.

5.4 Your Store must not contain:

  • Driffle trademarks or products or references to Driffle products or services.
  • ASCII art.
  • Children in adult or dangerous situations. For example, children close to, or handling, firearms or other weapons, or in situations which may contravene established child safety best practices (such as children in vehicles without their seatbelts fastened or cycling without helmets), or without adult supervision in places or situations where they cannot safely look after themselves (such as swimming pools, crossing busy roads or around dangerous equipment).
  • Content that encourages or promotes vandalism, anti-social behaviour, or the defacing of public or private property.
  • Content that may be considered culturally inappropriate in the geographical location where the Store will be displayed.
  • Content that implies or claims to diagnose, treat, or question gender identity or sexual orientation.
  • Content that promotes hate, incites violence or intolerance, or advocates or discriminates against a protected group, whether based on race, color, national origin, religion, disability, sex, sexual orientation, disability, age, or another category.
  • Content that promotes practices that can result in physical or mental harm.
  • Content that asks questions of, or speaks directly to the customer, such as the use of "you/your" (for example, “Are you looking for xxx, try this" or “Not getting the weight loss results you want?").
  • Content that encourages or glorifies smoking.
  • Content that glorifies or promotes the use of illicit drugs, abuse of legal drugs, drug paraphernalia or products to beat drug tests.
  • Content that revolves around highly debated social topics.
  • Content that promotes excessive or irresponsible consumption of alcohol.
  • Political content, such as campaigns for or against a politician or a political party, or related to an election, or content related to political issues of public debate.
  • Cruelty toward people or animals.
  • Deceptive, false, or misleading content.
  • Exploitation of sensitive events such as natural disasters, human-caused disasters, incidents of mass trauma and/or casualties, or the death of public figures.
  • Fake functionality such as “Play” buttons or login requests.
  • Foul, vulgar, or obscene language or language containing profanity, including obfuscated text or inappropriate double meanings.
  • Misspellings, excessive punctuation, or incorrect grammar or punctuation.
  • Obscene, defamatory, libellous, illegal, and invasive of another’s privacy.
  • Potentially embarrassing bodily functions or conditions, or private, intimate, or sensitive physical or medical conditions.
  • References to another company name or product to denigrate, compare or leverage the other brand or product to promote your product (for example, “better made than [other product]”). If you are communicating the compatibility of your product with other products in the headline, you must include the other brand or product in the later part of the headline with a qualifying statement like “compatible with.”
  • Religious advocacy, whether advocating or demeaning a religion.


Operational Framework

The Campaigns feature operates based on the calculation of three key parameters:


1. Vendor Commission

1.1. The Vendor Commission is calculated automatically based on the terms specified in the Vendor Commission Terms document.


2. Maximum Selling Price (Max. Cap on Selling Price)

2.1. The Maximum Selling Price is the highest retail price for a product promoted and sold in the buy box.

2.2. It is calculated based on the following logic:

2.3. Driffle reserves the right to change the Selling Price Limits at any time, with a prior written notice 10 days before the changes are implemented.


3. Minimum Bid Price/Campaign Fee

3.1. The Minimum Bid Price or Campaign Fee is the minimum amount a Vendor must bid to promote their product in the buy box.

3.2. It is calculated based on the following logic:

3.3. Driffle reserves the right to change the Minimum Bid Price or Campaign Fee at any time, with a prior written notice 10 days before the changes are implemented.

3.4 Automated campaigns work on minimum campaign fee.


4. Automated Campaigns

4.1. Default Activation: 

4.1.1. Automated Campaigns shall be functional or "ON" for all Vendor offers by default. 

4.1.2. Sellers and Vendors can customize their Campaigns from the Campaigns section via their Seller Dashboard.


4.2. Manual Deactivation and Reactivation:

4.2.1. Vendors may manually disable Automated Campaigns through the settings section in the seller dashboard.

4.2.2. Once disabled, Automated Campaigns cannot be reactivated by the Vendor through the seller dashboard.

4.2.3. To reactivate Automated Campaigns, Vendors must contact their key account manager, who will assist with the reactivation process.


Copyright and Trademark


1. Compliance with Copyright and Trademark Laws

It is the Vendor’s responsibility to comply with all applicable laws, rules and regulations that apply to the Vendor, the content of the Store, and any location where the Store appears. This includes obtaining any required authorizations or approvals from local regulatory authorities for the sale, distribution, or advertisement of the products that you intend to advertise with your Store.

1.1. Vendors must ensure that their store names, icons, and any other content used in their campaigns do not violate any copyrights, trademarks, or other intellectual property rights of third parties. Check section 5.4 for more information. 

1.2. Driffle reserves the right to review and reject any store name or icon that may infringe on intellectual property rights.


2.Right to Suspend for Violations

2.1. If Driffle determines that a Vendor's store name, icon, or other content violates any copyrights, trademarks, or other intellectual property rights, Driffle reserves the right to:

2.1.1. Suspend the Vendor's access to the Campaigns feature.

2.1.2. Suspend all of the Vendor's active campaigns.

2.2. Driffle may take such actions without prior notice to the Vendor and without providing any reason or explanation.


By using the Campaigns feature, the Vendor agrees to comply with these terms and conditions. Driffle reserves the right to update this Agreement at any time, with changes communicated as per the notice period specified above.
